General

Imago io ("Imago") offers cloud based content management services as well as related services as further specified on imago.io (both the "Website") and individually offered by Imago (jointly the "Services", "Service"). The Service allows the Users to create and manage content (the "Content") and to serve it to web and mobile applications or any other platform.

All contractual relationships between Imago and any user using the Services offered by Imago (a "User", "Users") shall be governed by these Terms of Service (the "Terms of Service"). By registering with Imago's Website or using the Services, the User agrees to be bound by these Terms of Service.

The Service offerings of Imago are available to both Consumers and Business Clients (as defined below). For the purpose of these Terms of Service, (i) a "Consumer" is any individual entering into the contract for a purpose not related to his or her business, trade or self-employed professional activity.

Standard business conditions and/or general terms and conditions of the User do not apply, regardless of whether or not Imago has expressly objected to them in a particular case.

Registration

Any use of the Services requires prior registration on the Website by creating a Imago account and the acceptance of these Terms of Service. By clicking the box "I agree to these Terms of Service" or by registering on the Website after Imago has provided a link with these Terms of Services stating that they will be included, a User agrees he has read, understood, and accepted the Terms of Service.

The User is responsible for the accuracy of the information necessary for registration as a User. He is obligated to keep credentials secret and protect them against unauthorised use by third parties. In case of misuse or loss of the credentials or in case of an appropriate suspicion, he must report the same to Imago to mail@imago.io.

Any User will be offered to invite other Users, inside as well as outside of his own organization.

Social Media

Imago provides users the opportunity to interact and post content through various social media sites. Your interactions with such tools, and any information you provide in connection with these interactions are publicly viewable outside of the Website domain. Each social media site has its own privacy policies, that may be more or less protective than this Policy. If you do not wish for this information to be disclosed, then you should not use these tools. We are not responsible for information you choose to post with such tools.

Our site also includes Social Media Features, such as the Facebook button, and Widgets, such as the Share this button or interactive mini­programs that run on Our site. These Features may collect your IP address, which page you are visiting on Our site, and may set a cookie to enable the Feature to function properly. Social Media Features and Widgets are either hosted by a third party or hosted directly on Our Site. Your interactions with these Features are governed by the privacy policy of the company providing it.

Comments and User Content Posted to the Website

If you post any Comments or User Content on the Website, you should be aware that any personal information you choose to provide there may be read, collected, or used by other users of the Website, as well as other third parties. We cannot guarantee that other users have not made copies of and/or will not use such information outside of the Website. We are not responsible for information you choose to post in this forum.

Frames

Some of Our pages utilize framing techniques to serve content to/from Our partners while preserving the look and feel of Our Website. Please be aware that you are providing your personal information to these third parties and not to www.imago.io.

Use of Services

Offers published by Imago on the Website are non-binding.

The User may use the Services to a certain limit for free, or for a trial run, after registering. The User may only register for a free plan once. If a User registers for more than one free plan, then Imago will have the right to delete these additional accounts.

By registering on the Website and subscribing to a subscription plan, the User makes a binding offer to use the respective Services. The offer shall be deemed to be accepted by Imago by making available the respective Service. Upon the acceptance of a subscription a contract between the User and Imago is concluded (the "Contract").

The User can subscribe to the Services on a monthly basis.

Technical Requirements

In order to use any of the Services please check all technical details and conditions on our Website. Imago will update all information about its platform/Website frequently ("Technical Requirements").

The User is solely responsible for the fulfilment of the Technical Requirements; Imago does not owe and/or provide any consultancy services in connection therewith if not otherwise agreed with Imago. Imago provides support for Users using a paid subscription plan.

The use of Services may differ depending on the hardware and/or software used by the User.

Prices and Payment

The User, when using a paid subscription plan, will be required to provide Imago with billing and account information for credit card, debit or other payment systems, such as PayPal, (each a "Payment Source") for which the User is authorized to approve charges to allow Imago to collect payment from the Users for their purchases. The Users authorize Imago to automatically and immediately bill the Payment Source when payments for subscription plans are due. The User shall only be allowed to raise an objection to a bill/deduction within eighty days starting from the day the deduction was made. If the objection was not raised, the deduction is deemed accepted by the User.

The billing of a subscription plan is made on a pre-paid basis. The payment source will be billed within five bank working days of the beginning of the chosen subscription period and at every renewed period of subscription respectively according to the current price list.

Imago may amend the price list of Services at any time upon observance of statutory regulations and notifying the Users about the amendment.

The dollar sign ($) denotes U.S. Dollars unless another currency is explicitly specified.

Contract Period, Termination of Contract, Cancellation of account

The term of use depends on the subscription period chosen by a User when ordering Imago's Services and shall be renewed for that same period each time the User does not terminate the Contract.

The User may terminate a Contract before the end of the ordered subscription period or to the end of the respective renewed period. The User can also change the length of the ordered subscription plan before the end of his subscription period instead of terminating the Contract. The ordinary termination of a Contract before expiry of the respective subscription period is hereby excluded. The User having used the trial run may unsubscribe from Imago anytime without giving reason and without notice by using the respective button in his account.

A User may also switch to a cheaper plan within the ordered subscription period. Payments already made for the ordered plan will not be refunded. Instead, Imago will use the credit of the User to deduct payments for further uses within the cheaper plan.

The right of termination for cause and without notice remains unaffected for both parties. A good cause for termination shall include, but shall not be limited to, any of the following events:

the User fails to comply with any applicable legal provisions;

the User fails to comply with any terms of these Terms of Service;

the User fails to pay the fees for the ordered Services.

The Contract can be easily terminated by visitng the billing section and choose the close account option.

After a User has terminated the Contract, Imago will not provide any stored data in the account. Imago will delete any data of that User after he has cancelled his registration.
